Innovator Terms & Conditions

These Innovator Terms & Conditions ("Agreement") govern the terms under which users ("you," "your," or "Innovator") may submit and manage crowdfunding campaigns on BackingBay, a platform operated by SHOP RR WAY PRIVATE LIMITED ("BackingBay," "we," "us," or "our"). By submitting a campaign, you agree to comply with these terms in addition to our general Terms of Use.
1. Eligibility & Registration
- Only Indian users are allowed to create campaigns on BackingBay.
- GST registration is mandatory at the time of campaign submission.
- Innovators must provide complete, accurate, and verifiable identification details.
- BackingBay reserves the right to reject any submission for incomplete or suspicious data without liability.
2. Campaign Submission Requirements
You must submit the following information:
- Campaign Title and Description
- Featured Image and/or Video
- Reward Details (min 1, max 10)
- Campaign Duration (15 to 90 days)
- Funding Type: Flexible or All-or-Nothing
- Product Storyline and Team Storyline
- FAQs
- Your own Return, Refund, and Exchange Policy
- Contact Email for Support
- GSTIN and required supporting documents
3. Review and Approval
- All campaigns undergo a detailed review by BackingBay administrators.
- BackingBay may reject or request revisions without explanation and is not obligated to approve any campaign.
- No damages or claims may be made for rejections or delays.
4. Post-Approval Rules
- Once approved and live, Innovators cannot modify campaign elements directly.
- Change requests must be emailed to shoprrway@gmail.com and are at BackingBay’s discretion.
- BackingBay may approve, deny, or delay changes without liability.
5. Platform Fees and Taxes
- A 9% platform commission + applicable GST will be deducted from total funds raised.
- 0.5% TCS will also be deducted and deposited. Innovators may claim this in GST returns.
- All tax responsibilities lie with the Innovator.
6. Reward Fulfillment
- Innovators are responsible for complete and timely reward delivery, including non-material rewards.
- BackingBay does not guarantee or manage reward delivery.
- In any dispute or complaint, the Innovator is solely liable.
- BackingBay will not be held liable and will provide proof of separation if required.
- Jurisdiction will be as per the Innovator’s location.
7. Campaign Conduct
- Campaigns must comply with laws and BackingBay’s policies.
- Prohibited categories: alcohol, tobacco, gambling, adult content, political or illegal products.
- BackingBay may suspend or remove campaigns without prior notice.
8. Liability
- Innovators are fully responsible for their campaign content and promises.
- BackingBay disclaims all liability in legal matters related to campaigns.
- Innovators must indemnify BackingBay and its affiliates against losses or claims.
9. Communication
- All platform updates, notices, and compliance communication will be shared by BackingBay.
- Failure to read or respond does not excuse non-compliance.
10. Termination and Enforcement
- BackingBay reserves the right to suspend or terminate any Innovator’s account without prior notice.
- Reasons may include violations, legal issues, or reputational risks.
- All decisions made by BackingBay are final and binding.
11. Jurisdiction
This Agreement is governed by Indian law. Any disputes shall fall under the exclusive jurisdiction of the courts in Raipur, Chhattisgarh.
